Job Description

Adams & Martin Group is seeking a Corporate Paralegal to join a busy law firm in the South Metro. This is a direct hire opportunity with an onsite work model.

The Corporate Paralegal responsibilities include:

  • Assisting with the creation of business entities, including drafting, filing formation documents, and maintaining corporate records.
  • Conducting UCC (Uniform Commercial Code) searches and preparing reports to support transactions and compliance initiatives.
  • Drafting, reviewing, and finalizing corporate organizational documents such as bylaws, operating agreements, and resolutions.
  • Maintaining corporate records and ensuring compliance with regulatory requirements.
  • Preparing and filing documents related to the dissolution or termination of business entities.
  • Supporting corporate legal projects, including ongoing operational documentation and compliance work.
  • Assisting with drafting audit response letters and coordinating responses to subpoenas and other legal inquiries.
  • Managing special projects to improve the legal team's efficiency and organization.

Qualifications:

  • Bachelor's degree or paralegal certification preferred.
  • 3+ years of paralegal experience in corporate law.
  • Knowledge of corporate law, entity formations, and UCC filing requirements.
  • Strong organizational and communication skills.
  • Experience in compliance work, corporate governance, and maintaining corporate records.
  • Proficiency in Microsoft Office and legal document management systems.
